1. Introduction and Acceptance
Welcome to Lilypath. These Terms of Service (“Terms”) govern your access to and use of the Lilypath website (lilypath.com), services, and deliverables (collectively, the “Services”) provided by Lilypath™ LLC, a Delaware limited liability company (“Lilypath,” “we,” “us,” or “our”).
By accessing our website, submitting an order, or receiving any deliverables from Lilypath, you (“Client,” “Recipient,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.
These Terms constitute a legally binding agreement between you and Lilypath LLC.
2. Description of Services
Lilypath provides professional profile assessment and optimization services, with an initial focus on profiles on LinkedIn. Our Services include, but are not limited to:
- Comprehensive Blueprint: A detailed assessment of your professional profile including AI Readiness scoring, section-by-section diagnostics, and copy-ready optimization recommendations
- Consultation Sessions: One-on-one sessions with Lilypath co-founders (available with Full-Service packages)
- Related Services: Additional optimization, analysis, and consulting services as described on our website or in separate agreements
Our Services are designed to help professionals communicate their expertise more effectively to both AI systems and human readers. We analyze profiles based on publicly available research, sound AI principles, and professional judgment developed through extensive experience in executive positioning.
3. Independent Status and Platform Non-Affiliation
Lilypath is not affiliated with, endorsed by, or sponsored by LinkedIn Corporation or any of its subsidiaries.
We are an independent service provider. The analyses, recommendations, and insights we provide are based solely on Lilypath’s proprietary methodologies, publicly available information, and publicly available research.
We do not:
- Represent or act on behalf of LinkedIn Corporation
- Have any special access to, partnership with, or endorsement from LinkedIn
- Guarantee that LinkedIn will respond to profile changes in any particular way or otherwise guarantee any particular result or outcome
- Have advance knowledge of LinkedIn platform changes, algorithm updates, or policy modifications
Any references to LinkedIn, 360Brew, or other third-party brands, trademarks, or proprietary content are for informational and descriptive purposes only and do not imply affiliation, sponsorship, endorsement, or authorization by the respective rights holders. All rights in such third-party materials remain the property of their respective owners.
4. User Obligations and Prohibited Conduct
By using our Services, you represent, warrant, and agree that:
4.1 Accurate Information
- All information you provide to Lilypath is accurate, truthful, complete, and current
- You own or otherwise have the right to use and share any materials you upload (including profile PDFs, resumes, and supporting documents)
- You will not provide false, misleading, or fraudulent information or omit any material information
4.2 Lawful Use
- You will use our Services only for lawful purposes
- You will comply with all applicable laws, including those governing intellectual property, privacy, data protection, defamation, and confidentiality
- You will not use our Services to engage in any activity that violates the terms of service of LinkedIn or any other third-party platform
4.3 Platform Compliance
You acknowledge that LinkedIn’s User Agreement prohibits certain activities, including but not limited to:
- Developing, supporting, or using software, devices, scripts, robots, or any other means or processes (such as crawlers, browser plugins and add-ons, or any other technology) to scrape or copy LinkedIn’s services, including profiles and other data
- Reverse engineering, decompiling, disassembling, deciphering, or otherwise attempting to derive the source code for LinkedIn’s services or any related technology that is not open source
Lilypath’s Services do not involve scraping, automated data collection, or reverse engineering of LinkedIn’s platform. We analyze materials that you voluntarily provide to us through LinkedIn’s platform functionality (such as PDF exports of your own profile). You agree that you will not use our Services or deliverables in any manner that would violate LinkedIn’s terms of service or any applicable law.
4.4 Prohibited Uses
You agree that you will not:
- Resell, redistribute, or commercially exploit our deliverables without prior written authorization
- Misrepresent our analysis or recommendations
- Use our Services to create competing products or services
- Attempt to reverse engineer our proprietary methodologies, scoring systems, or analytical frameworks, which are patent pending
- Use, upload, submit, or otherwise make available any Lilypath deliverables or content as training data, fine-tuning data, or input for any machine learning model, large language model, artificial intelligence system, or automated content generation tool
- Upload or input any Lilypath deliverables into any AI-powered tool, chatbot, or assistant for the purpose of analysis, summarization, replication, or derivative content generation, except for your own personal use in implementing the recommendations contained therein
5. Orders, Payment, and Delivery
5.1 Placing Orders
Orders are placed through our website by completing the intake form and submitting payment. By placing an order, you agree to provide accurate information and authorize payment for the selected service.
5.2 Pricing
Current pricing is displayed on our website. Prices are subject to change without notice, but changes will not affect orders already placed and paid for. All prices are in U.S. dollars unless otherwise specified.
5.3 Payment Processing
Payments are processed through Stripe, a third-party payment processor. By submitting payment, you agree to Stripe’s terms of service. Lilypath does not store your complete credit card information on our servers.
5.4 Delivery
- Self-Service Blueprints: Delivered via email within 48-72 hours of completed order submission
- Full-Service Packages: Delivery timeline varies based on session scheduling; specific timelines will be communicated upon purchase
Delivery timelines are estimates and not guarantees. While we make every effort to meet stated timelines, occasional delays may occur.
5.5 Confirmation
You are responsible for providing a valid email address. Lilypath is not responsible for non-delivery resulting from incorrect email addresses, spam filters, or technical issues outside our control.
6. Satisfaction Guarantee and Refunds
6.1 Satisfaction Guarantee
If you are not satisfied with the quality and actionability of your Comprehensive Blueprint, contact us at [email protected] within 30 days of delivery. We will work with you to address your concerns or provide a refund at our discretion, which is your sole remedy if you are dissatisfied. Except as provided in this Section, the services are non-cancellable and non-refundable.
6.2 Limitations
Our guarantee covers the quality and thoroughness of our deliverables. We do not guarantee specific outcomes or results, including but not limited to:
- Increases in profile views, engagement, or follower counts
- Recruiter outreach or job offers
- Business development results or client acquisition
- Improvements in content performance
- Any other measurable benefits
Individual results vary based on numerous factors beyond Lilypath’s knowledge or control, including your implementation, industry dynamics, market conditions, and third-party platform changes.
6.3 Refund Process
Approved refunds will be processed to the original payment method within 10 business days.
7. No Guarantees or Warranties
7.1 Services Provided “As Is”
Our Services and deliverables are provided for informational and professional development purposes. Lilypath makes no representations or warranties, express or implied, regarding:
- The accuracy, completeness, or suitability of the information provided
- The results you will achieve from implementing our recommendations
- The continued operation of any third-party platform in any particular manner
7.2 Use of Artificial Intelligence
The Services may utilize or incorporate artificial intelligence, machine learning models, automated tools, and/or algorithmic processes to assist in evaluating, ranking, and generating recommendations or deliverables (“AI-Assisted Review”). Deliverables and output are generated based on proprietary criteria, training data, and user-provided information, and may involve probabilistic or predictive outputs. AI-Assisted Review outputs and deliverables are inherently subjective, may contain errors, incorrect information or limitations, and should not be relied upon as definitive, exhaustive, or error-free. You should carefully review all output and deliverables for accuracy, truthfulness and errors prior to use, and your use of the Services and all output and deliverables is at your sole risk. Lilypath does not guarantee accuracy, fairness, neutrality, or consistency of rankings or outcomes. Human review, where provided, does not eliminate these limitations.
7.3 No Outcome Guarantees
Implementation of our recommendations does not guarantee specific outcomes, improvements in profile performance, increases in engagement, employment opportunities, business development results, or any other measurable benefits.
7.4 Third-Party Platforms
LinkedIn Corporation and other third-party platforms retain sole authority over their platforms, algorithms, features, and policies. Lilypath has no advance knowledge of, control over, or influence regarding any changes, updates, or modifications these platforms may implement.
8. Limitation of Liability
8.1 Limitation
To the maximum extent permitted by applicable law, Lilypath, its co-founders, members, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or goodwill or reputational harm
- Service interruption or computer damage
- Any damages arising from your use of or inability to use our Services
8.2 Maximum Liability
In no event shall Lilypath’s total liability to you for all claims arising from or related to these Terms or your use of our Services exceed the amount you paid to Lilypath for the specific service giving rise to the claim.
8.3 Assumption of Risk
You assume full responsibility for all decisions and actions taken in connection with our Services, including but not limited to changes made to your LinkedIn profile, content posted, engagement strategies employed, or any consequences—positive or negative—resulting from such actions.
9. Professional Advice Limitation
Our Services do not constitute legal, financial, tax, employment, or career advice. The information and recommendations we provide are for professional development and profile optimization purposes only.
You are encouraged to consult with appropriate licensed professionals regarding specific legal, financial, tax, or career-related decisions. Lilypath is not a substitute for professional advisors in these fields.
10. Intellectual Property
10.1 Lilypath’s Intellectual Property
Our deliverables, including Comprehensive Blueprints, and the frameworks, methodologies, scoring systems, templates, analytical approaches, and content contained therein are protected by copyright, trademark, and patent law and constitute the intellectual property of Lilypath. “Lilypath” and the Lilypath logo are trademarks of Lilypath LLC. Our proprietary methodologies and analytical frameworks are patent pending. All rights reserved.
10.2 License to Client
Upon payment in full, you are granted a limited, non-exclusive, non-transferable license to use your deliverables for your personal and professional purposes, subject to the following conditions:
- You may implement the recommendations in your own LinkedIn profile
- You may reference or share the deliverables, in whole or in part, for professional purposes, provided that proper attribution to Lilypath is maintained
- You may not modify or alter the deliverables in ways that misrepresent Lilypath’s analysis or recommendations
- You maintain and do not obscure any proprietary marks or labels of Lilypath
- You may not resell, commercially redistribute, or use the deliverables to create competing products or services
- You may not use the deliverables, in whole or in part, as training data, fine-tuning data, grounding data, retrieval-augmented generation (RAG) input, or any other input for machine learning models, large language models, artificial intelligence systems, or automated content generation tools, whether by you or any third party, without the prior written consent of Lilypath
10.3 Your Content
You retain ownership of all materials you provide to us (profile PDFs, resumes, supporting documents). By submitting these materials, you grant Lilypath a limited license to use them solely for the purpose of providing the Services you have purchased.
10.4 Feedback
Any feedback, suggestions, or ideas you provide regarding our Services may be used by Lilypath without obligation to you.
10.5 AI and Automated Systems Restriction
Lilypath deliverables, including Comprehensive Blueprints and all content, analysis, scoring data, recommendations, and copy-ready text contained therein, are protected works and may not be used as input for artificial intelligence or machine learning purposes. Without limiting the generality of the foregoing, you agree that you will not, and will not permit any third party to:
(a) Use any deliverable or portion thereof as training data, fine-tuning data, reinforcement learning data, or evaluation data for any machine learning model, large language model, or AI system;
(b) Incorporate any deliverable into any retrieval-augmented generation (RAG) system, vector database, knowledge base, or similar system designed to provide AI-generated outputs;
(c) Use any deliverable as a prompt, template, or reference for automated content generation that replicates or derives from Lilypath’s proprietary analysis, frameworks, or recommendations;
(d) Scrape, crawl, or systematically access Lilypath deliverables or the Lilypath platform for the purpose of collecting data for AI training or development.
This restriction applies regardless of whether such use is for commercial or non-commercial purposes. Lilypath reserves all rights under applicable law, including rights under the Digital Millennium Copyright Act (DMCA) and any applicable text and data mining regulations, to enforce these restrictions.
11. Confidentiality
11.1 Our Commitment
Lilypath maintains strict confidentiality regarding all client information, profile data, and proprietary business details shared during the evaluation process. We do not share, sell, or distribute client information to third parties without explicit written consent, except as required by law or as described in our Privacy Policy.
11.2 Report Confidentiality
Your deliverables are prepared exclusively for you and contain analysis specific to your profile. The contents are compiled for your internal analysis and professional development purposes. Deliverables are marked as confidential and proprietary. You agree not to upload, transmit, or otherwise make deliverables available to any third-party platform, AI system, or automated tool that would result in the contents becoming accessible to parties other than you, except as expressly permitted under Section 10.2.
11.3 Your Responsibility
Information in your deliverables is not intended for public distribution and should not be shared externally in ways that would misrepresent Lilypath’s analysis or violate the confidentiality of our proprietary methodologies.
12. Methodology and Information Sources
12.1 Information Sources
Information regarding LinkedIn’s 360Brew system and related AI technologies is derived from publicly available sources, including published research papers, conference presentations, official LinkedIn communications, and independent industry analyses.
12.2 Methodology Updates
Lilypath commits to updating its methodologies in good faith as new information becomes available, but cannot guarantee the timing or completeness of such updates. Our methodologies represent our professional judgment based on available information at the time of service delivery.
12.3 No Representation of Completeness
No representation or warranty is made regarding the accuracy, completeness, or legal sufficiency of the information provided in our deliverables. The information is based on publicly available sources and professional judgment, which may not reflect all relevant factors or recent changes.
13. Indemnification
You agree to indemnify, defend, and hold harmless Lilypath, its co-founders, members, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to:
- Your use of our Services or any deliverables
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of any applicable law
- Any content or materials you provide to us
14. Termination
14.1 By You
You may discontinue use of our Services at any time. Refunds for paid services are subject to Section 6 of these Terms.
14.2 By Lilypath
We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion, including but not limited to cases where we believe you have violated these Terms or engaged in fraudulent or abusive conduct.
14.3 Effect of Termination
Upon termination, your license to use any deliverables previously provided remains in effect, subject to your payment in full for such deliverables and continued compliance with the terms and conditions herein. Sections 7, 8, 9, 10, 11, 13, and 16 shall survive termination.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated “Last Updated” date. Your continued use of our Services after any changes constitutes acceptance of the modified Terms.
For material changes, we will make reasonable efforts to notify you via email or prominent notice on our website.
16. General Provisions
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.
16.2 Dispute Resolution
Any disputes arising from or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
16.3 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms agreed to for specific services, constitute the entire agreement between you and Lilypath regarding the subject matter herein.
16.4 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
16.5 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
16.6 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Lilypath may assign these Terms without restriction.
